Common use of Rights and Obligations on Termination Clause in Contracts

Rights and Obligations on Termination. If this Agreement is terminated for any reason, the parties shall have the following rights and obligations: (a) Termination of this Agreement shall not release either party from the obligation to make payment of all amounts then or thereafter due and payable; (b) All licenses granted pursuant to Article 5, and the respective licensee's rights and obligations thereunder, shall automatically terminate; and (c) The parties' respective rights and obligation under Articles 7, and 9 through 12, and Sections 8.3 and 8.4 shall survive termination of this Agreement.
