Rights in Contract Material. 4.2.1. Intellectual Property in all Contract Material vests or will vest in the High Court. 4.2.2. Clause 4.2.1 does not affect the ownership of Intellectual Property in: a. any Commonwealth Material incorporated into Contract Material or b. any Material in existence at the Commencement Date and specified in Item 12 [Existing Material]. 4.2.3. The Service Provider grants to (or will procure for) the High Court a permanent, irrevocable, royalty free, world wide, non-exclusive licence (including a right of sub-licence) to use, reproduce, adapt and exploit any existing Material referred to in clause 4.2.2.b, in conjunction with the Contract Material. 4.2.4. The Service Provider agrees, on request by the High Court, to create, sign, execute or otherwise deal with any document necessary or desirable to give effect to this clause 4.2. 4.2.5. The Service Provider warrants that: a. it is entitled or b. it will be entitled at the relevant time, to deal with the Intellectual Property in the Contract Material in the manner provided for in this clause 4.2.
