RIGHTS NOT ABROGATED. A Transfer of an Interest shall not, in the absence of an effective waiver thereof or an agreement doing so, abrogate or preclude the exercise or enforcement of any rights of any Person (other than the transferor) with respect to the Interest transferred, and the Transferee shall take such Interest subject thereto.
