Common use of Rights Not Transferable Clause in Contracts

Rights Not Transferable. The rights of each Company Stockholder under this Agreement as of immediately prior to the Effective Time are personal to such Company Stockholder and shall not be transferable for any reason, other than by operation of law, will or the laws of descent and distribution. Any attempted transfer of such right (other than as permitted by the immediately preceding sentence) shall be null and void.

Rights Not Transferable. The rights of each Company Stockholder Equityholder under this Agreement as of immediately prior to the Effective Time are personal to such Company Stockholder Equityholder and shall will not be transferable for any reason, other than by operation of law, will or the laws of descent and distribution. The rights of each the Company Stockholder under this Agreement Stockholders as of immediately prior to the First Effective Time are personal to each such Company Stockholder stockholder and shall not be transferable for any reason, other reason otherwise than for a Permitted Top-Up Transfer or by operation of law, will or the laws of descent and distribution. Any attempted transfer of such right by any holder thereof (other otherwise than as permitted by the immediately preceding sentence) shall be null and void.

The rights of each the Company Stockholder under this Agreement Stockholders as of immediately prior to the Effective Time Time, are personal to each such Company Stockholder holder and shall will not be transferable for any reason, other reason otherwise than by operation of law, will or the laws of descent and distribution. Any attempted transfer of such right by any holder thereof (other otherwise than as permitted by the immediately preceding sentence) shall will be null and void.
