Common use of Rights Not Transferable Clause in Contracts

Rights Not Transferable. The rights of Seller to any of the Earn-Out Payments are personal to Seller and shall only be transferable by operation of law, by will or the laws of descent and distribution or to the members of Seller following the dissolution of Seller. Any attempted transfer of such right by Seller (other than as permitted by the immediately preceding sentence) shall be null and void.
