Common use of Rights of Other Persons Clause in Contracts

Rights of Other Persons. Executive shall not disclose to the Company, or use in the performance of his or her work or responsibilities for the Company, any proprietary or confidential information, any trade secret, or any other intellectual property of (a) Executive, (b) any former employer of Executive, or (c) any other Person, unless the Company has received written authorization from Executive or such former employer or other Person and the Company has instructed Executive in writing to do so. The provisions of this Section 11 are not intended to create any rights as an intended or third-party beneficiary for any third party.
