Rights Prior to Termination. Executive shall be entitled to his full base salary under Section 3.1 hereof and full benefits under Section 3.4 hereof during such illness or incapacity unless and until an election is made by the Company to terminate Executive’s employment in accordance with the provisions of this Article V. However, if Executive becomes eligible for payment of compensation under a Company long-term disability plan, to the extent that Executive’s full base salary under 3.1 exceeds the amount of long-term disability compensation, Company shall continue to pay Executive any difference up to the amount of base salary, unless and until Company elects to terminate Executive’s employment under Article V.
