Rights Reservation Clause Samples

Rights Reservation. 7.1 If one Party does not exercise its rights or take actions in response to the defaulting acts of the other Party, it shall not be regarded as renouncing its rights or abstaining from pursuing the other Party's defaulting responsibilities or duties. 7.2 If one Party renounces its rights against the other Party or abstains from pursuing the other Party's breaches, it shall not be regarded as renouncing any other rights or abstaining from investigating and affixing responsibility of other breaches. 7.3 All renouncements of rights must be in writing.

Rights Reservation. Notwithstanding anything to the contrary set forth in this Agreement, the representations and warranties made by the Seller and the Acquired Companies under this Agreement or in any certificate, instrument, or other document delivered by the Seller and the Acquired Companies pursuant to this Agreement, and any obligation of the Seller to indemnify the Indemnified Parties for breaches thereof under Sections 8.2 and 8.4 above, will not be affected by any investigation of Buyer or by Buyer’s knowledge that any such representation or warranty is or may be untrue or inaccurate. Furthermore and without limiting the foregoing, any waiver of the rights of Buyer under this Agreement must be express and in writing.

Rights Reservation. Failure by Party B to exercise some of its rights under this agreement or its failure to demand performance by Party A of some of its obligations shall not operate as waiver or exemption by Party B of such a right or obligation, nor shall it constitute any waiver or exemption by Party B of other rights under this agreement or other obligations of Party A. No grace or extension granted by Party B to Party A or suspension by Party B to exercise its right under this agreement shall affect any right that Party B is entitled to in accordance with this agreement as well as applicable laws and regulations and nor shall they be deemed to be a waiver by Party B of the aforementioned rights.

Rights Reservation. Notwithstanding anything to the contrary set forth in this Agreement, the representations and warranties made by the Company and the Shareholders under this Agreement or in any certificate or other instruments delivered pursuant to this Agreement, and any obligation of the Company and the Shareholders to indemnify the Indemnified Parties for breaches thereof under Section 8.2 above, will not be affected by any investigation of Acquireco or by Acquireco’s knowledge that any such representation or warranty is or may be untrue or inaccurate. Furthermore and without limiting the foregoing, any waiver of the rights of Acquireco under this Agreement must be express and in writing.

Rights Reservation. Aparteko reserves the rights to take all legal and technical steps available, including pursuing civil remedies and criminal prosecution, for any violation of this Agreement. Our failure to enforce this Agreement in every instance in which it is entitled does not amount to a waiver of Aparteko’s rights.
