Rights to the Trademark. Licensee acknowledges the great value of the goodwill associated with the Trademark, and acknowledges that the Trademark and all the rights therein, and goodwill attached thereto, belong exclusively to Licensor. Licensee will not, at any time, do, or otherwise suffer to be done any act or thing which may, in any way, adversely affect any rights of Licensor in and to the Trademark or any registrations thereof or which, directly or indirectly, may reduce the value of the Trademark or detract from its reputation. Nothing contained in this Agreement shall be construed as an assignment or grant to Licensee of any right, title or interest in or to the Trademark, or any of Licensor's other trademarks, it being understood that all rights relating thereto are reserved by Licensor, except for the License hereunder to Licensee of the right to use and utilize the Trademark only as specifically and expressly provided herein. Licensee shall not file or prosecute a trademark or service xxxx application or applications to register the Trademark in respect of the Licensed Products or any other goods or services. Licensee shall not, during the term of this Agreement or thereafter, (a) attack Licensor's title or right in and to the Trademark in any jurisdiction or attack the validity of this License or the Trademark or (b) contest the fact that Licensee's rights under this Agreement (i) are solely those of a manufacturer and distributor and, (ii) subject to the provisions of Article 11 hereof, cease upon termination of this Agreement. The provisions of this paragraph 9.1 shall survive the termination of this Agreement.

Rights to the Trademark. Subject to the rights of Master Licensor, SUBLICENSEE acknowledges SUBLICENSOR'S exclusive rights in and to the Trademark. SUBLICENSEE shall not, at any time during or after the Term of this Agreement, dispute, or contest, directly or indirectly, Master Licensor's exclusive right and title to the Trademark, or the validity thereof.

The provisions of this Paragraph 13.1 will survive the expiration and termination of this Agreement.

Licensee will not, during the Term or thereafter: (a) do, or otherwise suffer to be done, any act or thing that might, in any way, adversely affect the rights of Xxxxx or Sweetface in and to the Trademarks or that, directly or indirectly, may reduce the value of the Trademarks or detract from their reputation; (b) prosecute an application to register the Trademarks; (c) attack Xxxxx or Sweetface's title or right in and to the Trademarks; (d) attack the validity of this sublicense or the Trademarks; or (e) contest the fact that Licensee's rights under this Agreement (i) are solely those of a licensee, manufacturer and distributor (on the terms set forth herein), and (ii) subject to the provisions of Articles 14 and 15 hereof, cease upon expiration or termination of this Agreement. The provisions of this Paragraph will survive the expiration and termination of this Agreement.
Rights to the Trademark. As between Designer and the Company, Designer acknowledges the Company's exclusive rights in the Trademark and, further acknowledges that the Trademark is unique and original to the Company and the Company is the owner or licensee thereof. Designer shall not, at any time during or after the Term of this Agreement, dispute or contest, directly or indirectly, the Company's exclusive right and title to the Trademark, or the validity thereof. Designer agrees that its use of the Trademark inures to the benefit of the Company and that the Designer shall not acquire any rights in the Trademark.

  • Rights to Intellectual Property This Data Agreement does not give Service Provider any rights, implied or otherwise, to CDI, data, content or intellectual property except as expressly stated in any underlying agreement between the parties. This includes but is not limited to the right to share, sell or trade CDI. The District acknowledges that this agreement does not convey any intellectual property right in any of Service Provider’s materials or content, including any revisions of derivative work or material. Service Provider-owned materials shall remain the property of the Service Provider. All rights, including copyright, trade secrets, patent and intellectual property rights shall remain the sole property of the Service Provider.

  • Assignment of Rights to Intellectual Property The Executive shall promptly and fully disclose all Intellectual Property to the Company. The Executive hereby assigns and agrees to assign to the Company (or as otherwise directed by the Company) the Executive’s full right, title and interest in and to all Intellectual Property. The Executive agrees to execute any and all applications for domestic and foreign patents, copyrights or other proprietary rights and to do such other acts (including without limitation the execution and delivery of instruments of further assurance or confirmation) requested by the Company to assign the Intellectual Property to the Company and to permit the Company to enforce any patents, copyrights or other proprietary rights to the Intellectual Property. The Executive will not charge the Company for time spent in complying with these obligations. All copyrightable works that the Executive creates shall be considered “work made for hire”.

  • Rights to Work Product The Employee agrees that all work performed by the Employee pursuant hereto shall be the sole and exclusive property of the Company, in whatever stage of development or completion. With respect to any copyrightable works prepared in whole or in part by the Employee pursuant to this Agreement, including compilations of lists or data, the Employee agrees that all such works will be prepared as “work-for-hire” within the meaning of the Copyright Act of 1976, as amended (the “Act”), of which the Company shall be considered the “author” within the meaning of the Act. In the event (and to the extent) that such works or any part or element thereof is found as a matter of law not to be a “work-for-hire” within the meaning of the Act, the Employee hereby assigns to the Company the sole and exclusive right, title and interest in and to all such works, and all copies of any of them, without further consideration, and agrees, to the extent reasonable under the circumstances, to cooperate with the Company to register, and from time to time to enforce, all patents, copyrights and other rights and protections relating to such works in any and all countries. To that end, the Employee agrees to execute and deliver all documents requested by the Company in connection therewith, and the Employee hereby irrevocably designates and appoints the Company as the Employee’s agent and attorney-in-fact to act for and on behalf of the Employee and in the Employee’s stead to execute, register and file any such applications, and to do all other lawfully permitted acts to further the registration, protection and issuance of patents, copyrights or similar protections with the same legal force and effect as if executed by the Employee. The Company shall reimburse the Employee for all reasonable costs and expenses incurred by the Employee pursuant to this Section 11.

  • Copyrights, Patents, Trademarks and Licenses, etc The Company and each Subsidiary own or are licensed or otherwise have the right to use all of the material patents, trademarks, service marks, trade names, copyrights, contractual franchises, authorizations and other rights that are reasonably necessary for the operation of their respective businesses, without material conflict with the rights of any other Person. To the best knowledge of the Company, no slogan or other advertising device, product, process, method, substance, part or other material now employed, or now contemplated to be employed, by the Company or any Subsidiary infringes upon any rights held by any other Person. Except as specifically disclosed in Schedule 6.5, no claim or litigation regarding any of the foregoing is pending or, to the knowledge of the Company, threatened, and no patent, invention, device, application, principle or any statute, law, rule, regulation, standard or code is pending or, to the knowledge of the Company, proposed, which, in either case, would reasonably be expected to have a Material Adverse Effect.

With respect to all software used by any Borrower, such Borrower is in possession of all source and object codes related to each piece of software or is the beneficiary of a source code escrow agreement, each such source code escrow agreement being listed on Schedule 5.9 hereto.

  • Patents, Trademarks There are no material patents, patent rights, trademarks, service marks, trade names, copyrights, licenses or other intellectual property rights with respect to the Leased Property that are necessary for the operation of the Leased Property by the Lessee, except to the extent that the Lessee has rights in respect thereof without material payment of royalties or other material licensing payments, which rights may be freely leased, licensed or otherwise provided to Lessor or any successor owner, lessee, user or operator of the Leased Property pursuant to the Operative Documents.
