Subject to the terms of this Agreement and the acceptance of the Master Licensor of its terms, the Company will cause the Master Licensor to grant a licence to use each Component of the Software during the relevant Component Term solely for Purchaser's internal business purposes.
Purchaser acknowledges that the Master Licensor may increase the fees payable for the Software from time to time and that, as such, the Fees payable hereunder with respect to a Renewal Term may be modified accordingly by the Company on 60 days’ notice to the Purchaser prior to the commencement of such Renewal Term.
Purchaser acknowledges and agrees that the Software is being provided to it by the Master Licensor directly and that the Company has no responsibility or liability whatsoever for any matter relating to the provision of the Software by the Master Licensor except with respect to its obligation to make payment of the appliable fees for the Software to the Master Licensor on behalf of the Purchaser.
The license for the Software granted hereunder will be subject to any usage limits described in Exhibit A, set forth in the Master Cloud Service Agreement, or as otherwise communicated by Master Licensor.
If the Master Licensor amends its price list for the Software to the Licensor, the Licensor may amend the Price List by giving the Reseller 30 (thirty) days written notice.
In order to make such determination, the Master Licensor may require submission of specifications, information, or samples of such products, services, materials, forms, items or supplies.
The Master Licensor does not authorize and will not be bound by any representation of any nature other than those expressed in this Agreement.
PROPRIETARY MARKS 10.1 The Master Licensor warrants that it is entitled to license the Proprietary Marks to the Master Licensee and subject to necessary or appropriate registration in the Territory the use of the Proprietary Marks by the Master Licensee will not constitute an infringement of rights of any third party and will fully and effectively indemnify the Master Licensee for and against all -9- <PAGE> 10 proceedings, loss, damage, costs, claims, and expenses arising out of such infringement.
If the Licensee proposes to offer, conduct or utilize any products, services, materials, forms, items or supplies for use in connection with or sale through The Painting Pro Guys which are not previously approved by the Master Licensor as meeting its specifications, the Licensee shall first notify the Master Licensor in writing requesting approval.
The Master Licensor may, in its sole discretion, for any reason whatsoever, elect to withhold such approval.
