There are no outstanding: (a) securities or instruments convertible into or exercisable for any of the capital stock or other equity interests of Uplink; (b) options, warrants, subscriptions or other rights to acquire capital stock or other equity interests of Uplink; or (c) commitments, agreements or understandings of any kind, including employee benefit arrangements, relating to the issuance or repurchase by Uplink of any capital stock or other equity interests of Uplink, or any instruments convertible or exercisable for any such securities or any options, warrants or rights to acquire such securities.
