Common use of Risk of Use of Confidential Data Clause in Contracts

Risk of Use of Confidential Data. It is understood by the Parties hereto that any confidential information or data, both oral and written, furnished by one Party to the other is to be considered accurate, however, neither Party hereto makes any representations or warranties, express, implied, statutory or otherwise, with respect to the accuracy or completeness of the confidential information or data disclosed or any condition or aspect thereof. To the best of its knowledge, the Party making such disclosure represents that it has full legal or contractual authorization or right to disclose such information and data to the other Party. Each Party hereto agrees that it will use such confidential information and data at its sole peril and risk, and the disclosing Party will have no liability whatsoever with respect to the use by the receiving Party of any information or data, whether confidential or otherwise, furnished by the disclosing Party to the receiving Party. Any decision or action taken by the receiving Party of such disclosed confidential information and data will be based solely on the receiving Party's independent evaluation, judgment and decisions.
