Common use of Role of Counsel Clause in Contracts

Role of Counsel. The parties acknowledge their understandings that this Agreement was prepared at the request of the Company by Pxxxxxxx Law Group LLP, its counsel, and that such firm did not represent the Purchaser in conjunction with this Agreement or any of the related transactions. The Purchaser, as further evidenced by its signature below, acknowledges that it has had the opportunity to obtain the advice of independent counsel of its choosing prior to its execution of this Agreement and that it has availed itself of this opportunity to the extent it deemed necessary and advisable.

Role of Counsel. The parties Parties acknowledge their understandings that this Agreement was prepared at the request of the Company Buyer by Pxxxxxxx Law Group LLP, its counsel, and that such firm did not represent Daily Engage or the Purchaser Members in conjunction with this Agreement or any of the related transactions. The PurchaserDaily Engage and the Members, as further evidenced by its or his signature below, acknowledges that it has had the opportunity to obtain the advice of independent counsel of its choosing prior to its execution of this Agreement and that it has availed itself of this opportunity to the extent it deemed necessary and advisable.

Role of Counsel. The parties Parties acknowledge their understandings that this Agreement was prepared at the request of the Company Corporation by Pxxxxxxx Xxxxxxxx Law Group LLP, its counsel, and that such firm did not represent the Purchaser Holders in conjunction with this Agreement or any of the related transactions. The PurchaserHolder, as further evidenced by its signature below, acknowledges that it has had the opportunity to obtain the advice (including advice relating to tax matters) of independent counsel of its choosing prior to its execution of this Agreement and that it has availed itself of this opportunity to the extent it deemed necessary and advisable.
