Role of Counsel. The Executive acknowledges his understanding that this Agreement was prepared at the request of the Company by, its counsel, and that such firm did not represent the Executive in conjunction with this Agreement or any of the related transactions. The Executive, as further evidenced by his signature below, acknowledges that he has had the opportunity to obtain the advice of independent counsel of his choosing prior to his execution of this Agreement and that he has availed himself of this opportunity to the extent he deemed necessary and advisable. THE EXECUTIVE ACKNOWLEDGES THAT, IN EXECUTING THIS AGREEMENT, THE EXECUTIVE HAS HAD THE OPPORTUNITY TO SEEK THE ADVICE OF INDEPENDENT LEGAL COUNSEL, AND HAS READ AND UNDERSTOOD ALL OF THE TERMS AND PROVISIONS OF THIS AGREEMENT.

The Company acknowledges its understanding that this Agreement and other agreements entered into in connection with the Agreement were prepared at the request of the Buyer by [Legal & Compliance, LLC], legal counsel for the Buyer and that such law firm or any of its attorneys did not represent the Company in conjunction with this Agreement, the Transaction Documents or any of the related transactions. The Company, as further evidenced by its signature below, acknowledges that is has had the opportunity to obtain the advice of independent counsel of their choosing prior to the execution of this Agreement and that it has availed itself of this opportunity to the extent the Company deemed necessary and advisable. By its signature below, the Company represents and warrants that they it understands the terms and conditions of this Agreement.

The Purchaser, as further evidenced by its signature below, acknowledges that it has had the opportunity to obtain the advice of independent counsel of its choosing prior to its execution of this Agreement and that it has availed itself of this opportunity to the extent it deemed necessary and advisable.
Role of Counsel. Seller acknowledges its understanding that this Agreement was prepared at the request of Buyer by Pxxxxxxx Law Group LLP, its counsel, and that such firm did not represent Seller in conjunction with this Agreement or any of the related transactions. Seller, as further evidenced by its signature below, acknowledges that it has had the opportunity to obtain the advice of independent counsel of its choosing prior to its execution of this Agreement and that it has availed itself of this opportunity to the extent it deemed necessary and advisable.
Role of Counsel. The Grantee acknowledges his understanding that this Agreement was prepared at the request of the Parent by Pexxxxxx Xaw Group LLP, its counsel, and that such firm did not represent the Company or the Grantee in conjunction with this Agreement, the Mergers or any of the related transactions. The Grantee, as further evidenced by his signature below, acknowledges that he has had the opportunity to obtain the advice of independent counsel of his choosing prior to his execution of this Agreement and that he has availed himself of this opportunity to the extent he deemed necessary and advisable.
Role of Counsel. Each of the parties hereto understands and acknowledges that Xxxxxxx Xxxx & Xxxxxxxxx LLP has from time to time represented HGM, the Company and certain of the Stockholders, both collectively and individually. Each of the parties hereto acknowledges that in connection with this Agreement and the transactions contemplated hereby, Xxxxxxx Xxxx & Xxxxxxxxx LLP is acting as counsel to HGM and not to the Company or any of the Stockholders and that Xxxxxxx Xxxx & Xxxxxxxxx LLP owes no duty or obligation to the Company or any of the Stockholders in connection therewith. Each Stockholder waives any conflict of interest arising out of such representation, and agrees that Xxxxxxx Xxxx & Xxxxxxxxx LLP may represent HGM in connection with any dispute between the Stockholders on the one hand and HGM on the other.
Role of Counsel. The Executive acknowledges his understanding that this Amendment to Executive Employment Agreement was prepared at the request of the Corporation by Xxxxxxxxx Xxxxxxxxxx LLP, its counsel, and that such firm did not represent the Executive in conjunction with this Agreement or any of the related transactions.
