Common use of Royalty Period Clause in Contracts

Royalty Period. (a) In respect of Products for which a royalty is due, Xxxxxxx'x obligation to pay royalties to Rigel shall be for a period of ten (10) years, on a Product-by-Product basis, from the Date of First Sale of each such Product. (b) For the purposes of determining whether royalties are due hereunder, different dosage forms of a Product shall not be considered different Products provided that different dosage forms contain the same active ingredient. (c) Upon termination of the royalty payment obligation, Xxxxxxx shall thereafter have in perpetuity a royalty-free, non-exclusive license to make, have made, use, sell, have sold, and import such Products hereunder, without any accounting to Rigel.
