Royalty Structure Sample Clauses
Royalty Structure. The parties have structured the Royalties to account for the value of Diractin in light of the value to ALPHARMA of the access to technology, clinical trial data, the IND, and other valuable Know-How provided to ALPHARMA hereunder and its rights to develop and exploit Improvements. The Parties acknowledge that these Royalty arrangements are for their mutual convenience and that the Parties arrived at such arrangements after carefully exploring alternative means.
Royalty Structure. Until ITT has Sold at least [*] Licensed Product [*], ITT will in any event pay royalties at the rate of [*] per Licensed Product irrespective of whether such Licensed Product is Sold [*].
