Common use of Rugby Access Clause in Contracts

Rugby Access. Upon the reasonable prior written request of Rugby, Rugby shall have the right to inspect those portions of the manufacturing and testing facilities of HMRI where Products are being manufactured or tested, as the case may be, during regular business hours, to ascertain compliance with GMPs. If the FDA or other applicable governmental regulatory agency asserts any notice to the effect that HMRI has failed to comply with any law or regulation in connection with the manufacture of Products, or if HMRI delivers Product that does not meet the Specifications, then Rugby shall have the right to inspect such portions of the manufacturing facilities of HMRI that relate to the manufacture of Product upon reasonable notice and during normal business hours. Notwithstanding the provisions of this Section 4.4(a), Rugby shall have no obligation or be deemed to have an obligation to inspect the manufacturing and testing facilities of HMRI.
