RULE 144 INFORMATION RIGHTS. At any time when TIW is neither subject to Section 13 or 15(d) of the United States Securities Exchange Act of 1934 (the "1934 ACT"), nor exempt from the filing requirements of the 1934 Act pursuant to Rule 12g3-2(b) thereunder, TIW agrees to furnish holders and prospective purchasers of TIW Shares with the information required by Rule 144A(d)(4) under the United States Securities Act of 1933 (the "1933 ACT").

At any time when TIW is neither subject to Section 13 or 15(d) of the United States Securities Exchange Act of 1934 1934, as amended (the "1934 ACT"), nor exempt from the filing requirements of the 1934 Act pursuant to Rule 12g3-2(b) thereunder, TIW agrees to furnish holders and prospective purchasers of TIW Shares with the information required by Rule 144A(d)(4) under the United States Securities Act of 1933 1933, as amended (the "1933 ACT").
