Rules for Indemnification. 9.5.1 If a legal action is brought against the Indemnified Party, the Indemnifying Party shall, at its sole cost and expense, defend the Indemnified Party after the Indemnified Party demands indemnification by written notice given to the Indemnifying Party. Upon receipt of that notice, the Indemnifying Party will have control of that litigation but may not settle that litigation without the express consent of the Indemnified Party, which consent shall not be unreasonably withheld, conditioned or delayed. An Indemnified Party may also engage counsel at its own cost in connection with any Claim brought against it. 9.5.2 To the extent that the Indemnifying Party and Indemnified Party each have liability for Damages claimed by an Indemnified Party under the Agreement, the Damages will be allocated between them based on their proportionate share of fault for the Damages.
