Common use of Russian Regulatory Compliance Clause in Contracts

Russian Regulatory Compliance. Notwithstanding anything to the contrary herein, neither SDIC, in its capacity as a Major Holder, nor the SDIC Directors shall exercise any “veto” or other rights under this Agreement in relation to the management or operation of the business of, or any corporate decisions at any governance level taken by, any Subsidiary of the Company that is domiciled in the Russian Federation, and, if necessary for the purpose of satisfying any quorum or consent threshold, SDIC and/or the SDIC Directors shall be deemed present, non-voting and the absence of a vote or consent from SDIC and/or the SDIC Directors with respect to any such matter shall not prevent any such matter from being otherwise approved or disapproved.
