Common use of Sale and Issuance of Series A Common Stock Clause in Contracts

Sale and Issuance of Series A Common Stock. Subject to the terms and conditions of this Agreement, the Company shall issue, sell and deliver to the Purchaser at the Closing, and the Purchaser shall purchase from the Company, One Hundred Fifty-Nine Million Five Hundred Ninety-Nine Thousand Eight Hundred Three (159,599,803) Shares (“Purchased Shares”), which represents thirty-six percent (36%) of the total Shares.
