Common use of Sale and Purchase of Company Shares Clause in Contracts

Sale and Purchase of Company Shares. Upon the terms and subject to the satisfaction or waiver of the conditions contained herein, on the Closing Date the Selling Stockholder shall sell, assign, transfer, convey and deliver to Purchaser, and Purchaser shall purchase from the Selling Stockholder, the Company Shares.

Sale and Purchase of Company Shares. Upon the terms and subject to the satisfaction or waiver of the conditions contained herein, on the Closing Date Date, the Selling Stockholder Sellers shall, or shall cause their Affiliates to, sell, assign, transfer, convey and deliver to Purchaserthe Purchaser (and the Designees) all of the right, title and Purchaser shall purchase from interest of the Selling Stockholder, Sellers in and to the Company Shares, free and clear of all Liens, and the Purchaser (and the Designees) shall purchase the Company Shares from the Sellers or their Affiliates.

Upon the terms and subject to the satisfaction or waiver of the conditions contained herein, on the Closing Date the Date, each Selling Stockholder Shareholder shall sellsell transfer, assign, transfer, convey and deliver to Purchaser, and Purchaser shall purchase purchase, acquire and accept from each Selling Shareholder, that number of Company Shares set forth opposite the name of each Selling StockholderShareholder on Exhibit A-1 hereto, free and clear of any and all Liens and Encumbrances, such that all of the issued and outstanding Company SharesShares at the Closing shall be sold to and purchased by Purchaser.
