Sale and Purchase of Transferred Shares. On the basis of the representations and warranties contained in this Agreement, and upon the terms and subject to the conditions of this Agreement, the Seller hereby agrees to transfer to each of the Purchasers, and each of the Purchasers hereby agrees to purchase from the Seller, all of the Seller’s right, title and interest to the number of Transferred Shares set forth opposite such Purchaser’s name on Schedule 3, in exchange for the payment by each Purchaser to the Seller of the portion of the Purchase Price set forth opposite such Purchaser’s name on Schedule 3.
