Common use of Sale or Transfer of Premises Clause in Contracts

Sale or Transfer of Premises. If Landlord sells, transfers, or assigns all or any portion of this Lease or the Premises, including improvements thereon, Landlord, on consummation of the sale, transfer or assignment, shall be released from any liability thereafter accruing under this Lease if Landlord's successor has assumed in writing, for the benefit of Tenant, Landlord's obligations thereafter accruing under this Lease, and Tenant has received a copy of such writing. Any prepaid Rent may be transferred to Landlord's successor, and on such transfer Landlord shall be discharged from any further liability in reference to the prepaid Rent.

Sale or Transfer of Premises. 23.1 If Landlord sells, transfers, sells or assigns all transfers the Facility or any portion of this Lease or the Premises, including improvements thereoninterests therein, Landlord, on consummation of the sale, transfer sale or assignmenttransfer, shall be released from any liability thereafter accruing under this Lease if Landlord's successor has assumed in writing, for provided the benefit transferee assumes all obligations of Tenant, Landlord's obligations thereafter accruing under this Lease, and Tenant has received a copy of such writing. Any prepaid Rent may be transferred to Landlord's successor, and on such transfer Landlord shall be discharged from any further liability in reference to the prepaid Renthereunder.

If the Landlord sells, transfers, sells or assigns transfers all or any portion of this Lease or the Premises, including or the Building, improvements thereonand land of which the Premises is a part, Landlord, on consummation of then the sale, transfer or assignment, Landlord shall be released from any liability thereafter accruing under this Lease if Landlord's successor has assumed in writing, upon (a) the consummation and (b) the Landlord accounting to any such transferee for any security deposit and prepaid rent of the benefit of Tenant, Landlord's obligations thereafter accruing under this Lease, and Tenant has received a copy of such writing. Any prepaid Rent may be transferred to Landlord's successor, and on such transfer Landlord shall be discharged from any further liability in reference to the prepaid Renthereunder.

Any prepaid Rent may be transferred to Landlord's successor, and on such transfer Landlord shall be discharged from any further liability in reference to the prepaid Rent.

Any prepaid Rent may be transferred the Security Deposit to Landlord's successor, and on such transfer Landlord shall be discharged from any further liability in reference to the prepaid Rent.

Any prepaid Rent may be transferred to Landlord's successor, and on such transfer Landlord shall be discharged from any further liability in reference to the prepaid Rent.
