Common use of Sale Order Clause in Contracts

Sale Order. Notwithstanding anything herein to the contrary, this Agreement, and Buyer’s and Receiver’s obligations hereunder, are contingent upon entry of an order, on or before the Closing, by the Court of Common Pleas of Xxxxxxxx County, Ohio (the “Court”) in Case No. A2001099 (the “Action”) which (1) approves of the sale of the Purchased Assets in accordance with this Agreement to the Buyer in the event the Buyer is the successful bidder; and (2) should the Buyer be the successful bidder, authorizes Receiver without further order of the Court to execute and deliver a Receiver’s Deed, Receiver’s Xxxx of Sale, and any other conveyance documents reasonably necessary to vest title of the Purchased Assets in Buyer free and clear of all monetary liens, claims, encumbrances, and security interests except for the Permitted Exceptions and any liens for real estate taxes and assessments (the “Sale Order”).
