Common use of Sale Price Clause in Contracts

Sale Price. (a) As consideration for the sale of the CEF Assets pursuant to Section 2.1 hereof, the Purchaser shall pay each Seller on the Closing Date, upon satisfaction of the applicable conditions set forth in Article III, an amount acknowledged by the applicable Seller and the Purchaser to be the fair market value of the CEF Assets that such Seller sold and transferred by such Seller to the Purchaser under this Agreement (together the “CEF Purchase Price”).
