Common use of Sales Outside the Territory Clause in Contracts

Sales Outside the Territory. Except as otherwise set forth in this Agreement, Celltech shall not distribute, sell or otherwise provide the Product outside of the Territory and shall not solicit customers for the Product outside the Territory or establish any office through which orders are solicited or any depot at which inventories of the Product are stored outside the Territory. Celltech shall not sell the Product to customers outside the Territory, provided that nothing herein shall preclude Celltech from selling the Product to any customer, wherever located, who purchases Product with a view to its use within any country of the Territory.
