Sales to Affiliates of Replacement Servicer. To the extent that Gxxxx Capital BDC, Inc. (or an Affiliate thereof) is no longer the Servicer, the Replacement Servicer may only sell assets owned by the Borrower to such Replacement Servicer’s Affiliates to the extent that it receives the consent of the “member” of the Borrower identified in the Borrower LLC Agreement.
