Common use of Sanctioned Person Clause in Contracts

Sanctioned Person. (a) No Loan Party nor any of its Subsidiaries, nor, to the knowledge of any Loan Party or any of its Subsidiaries, their respective directors, officers, employees or any agent or Affiliate thereof, (a) is an individual or entity that, or is owned or controlled by any individual or entity that, is (i) a person on the list of “Specially Designated Nationals and Blocked Persons” or any other sanctions list maintained by OFAC, the European Union or Her Majesty’s Treasury, (ii) the subject or target of any Sanctions or (iii) located, organized or resident in a Designated Jurisdiction, or (b) has received written notice of any action, suit or proceeding or accusation of wrongdoing against such Loan Party or any of its Subsidiaries from an applicable Governmental Authority with respect to Sanctions. (b) No Loan Party will directly or, to its knowledge, indirectly, use the proceeds of the Loans or otherwise make available such proceeds to any person, for the purpose of financing the activities of any person, in any Designated Jurisdiction in violation of applicable Law or in any other manner, in each case, that will result in a violation of Sanctions by any party hereto.

Sanctioned Person. (a) No Loan Party Neither the Borrower nor any of its Subsidiaries, nor, to the knowledge of any Loan Party the Borrower or any of its Subsidiaries, their respective directors, officers, employees or any agent or Affiliate thereof, (ai) is an individual or entity that, or is owned or controlled by any individual or entity that, is (ix) a person on the list of “"Specially Designated Nationals and Blocked Persons” " or any other sanctions list maintained by OFAC, the European Union or Her His Majesty’s Treasury, (iiy) the subject or target of any Sanctions or (iiiz) located, located or organized or resident in a Designated Jurisdiction, or (bii) has received written notice of any action, suit or proceeding or accusation of wrongdoing against such Loan Party the Borrower or any of its Subsidiaries from an applicable Governmental Authority with respect to Sanctions. (b) No Loan Party The Borrower will not directly or, to its knowledge, indirectly, use the proceeds of the Loans Letters of Credit or otherwise make available such proceeds to any person, for the purpose of financing the activities of any person, in any Designated Jurisdiction in violation of applicable Law or in any other manner, in each case, that will result in a violation of Sanctions by any party hereto.
