Assigned Personnel. The Contractor warrants that the personnel it will assign to perform the Products and Services under this Agreement shall possess the requisite education, competence and experience. The Contractor further acknowledges and agrees that such personnel may be subject to the evaluation and approval of the Authority, who shall retain the right to determine the sufficiency of the education, competence and experience of the personnel assigned to perform the Products and Services identified in Exhibit A attached and incorporated into this Agreement.
Assigned Personnel a. Consultant shall assign only competent personnel to perform work hereunder. In the event that at any time County, in its sole discretion, desires the removal of any person or persons assigned by Consultant to perform work hereunder, Consultant shall remove such person or persons immediately upon receiving written notice from County.
b. Any and all persons identified in this Agreement or any exhibit hereto as the project manager, project team, or other professional performing work hereunder are deemed by County to be key personnel whose services were a material inducement to County to enter into this Agreement, and without whose services County would not have entered into this Agreement. Consultant shall not remove, replace, substitute, or otherwise change any key personnel without the prior written consent of County.
c. In the event that any of Consultant’s personnel assigned to perform services under this Agreement become unavailable due to resignation, sickness or other factors outside of Consultant’s control, Consultant shall be responsible for timely provision of adequately qualified replacements.
Assigned Personnel. On signing this Contract, and subsequent thereto as changes in personnel are made, Contractor shall identify the person on Contractor's staff who will serve as day to day liaison for the Services. Contractor shall assign and maintain a staff of dedicated and competent personnel that is fully equipped and qualified to perform the Services required by this Contract. Provided, the Authority shall have the right to review and approve such personnel selections, and may reject any such personnel at any time whenever the Authority, in its sole and unlimited discretion, determines that such personnel is not qualified or otherwise unfit for such work.
Assigned Personnel. Reassignment of A-E’s personnel requires prior written consent by JWA. A-E shall not be entitled to compensation for personnel who are removed from the project or the individuals who replace them without the written consent of JWA.
Assigned Personnel. Costs of salaries and wages including bonuses of the Contractor's employees directly and necessarily engaged in the conduct of the Petroleum Operations, whether temporarily or permanently assigned, irrespective of the location of such employees, it being understood that in the case of those personnel only a portion of whose time is wholly dedicated to Petroleum Operations under the Agreement, only that pro-rata portion of applicable salaries, wages, and other costs as delineated in paragraphs 3.2(c), 3.2(d), 3.2(e), 3.2(f) and 3.2(g) shall be charged and the basis of such pro-rata allocation shall be specified.
Assigned Personnel. Costs of salaries and wages, including bonuses, of the Contractor's employees directly and necessarily engaged in the conduct of the Petroleum Operations under the Contract, whether temporarily or permanently assigned, irrespective of the location of such employees, it being understood that in the case of those personnel only a portion of whose time is wholly dedicated to Petroleum Operations under the Contract, only that pro rata portion of applicable salaries, wages, and other costs, as specified in Sections 3.1.2(c), (d), (e), (f) and (g), shall be charged and the basis of such pro rata allocation shall be specified.
Assigned Personnel. Neither BlueSnap nor its employees or contractors will be deemed employees of Merchant.
Assigned Personnel. Contractor will devote only its best-qualified personnel to work under the Contract. At no time will Contractor or Contractor’s employees, agents, or subcontractors be considered employees of University for any purpose, including without limitation, workers’ compensation provisions. Contractor shall be solely responsible to University for all Services performed by Contractor’s employees, agents, and subcontractors, including being responsible for ensuring payment of all unemployment, social security, payroll, contributions, and other taxes with respect to such employees, agents, and subcontractors. Contractor shall advise University promptly, in writing, of any actual or anticipated labor dispute or other labor-related occurrence known to Contractor involving Contractor’s employees or subcontractors, which may reasonably be expected to affect Contractor’s obligations under this Contract. University shall have the option to require Contractor to arrange for temporary employees or subcontractors satisfactory to University to provide the Goods and/or Services hereunder.
Assigned Personnel. Each party to this Agreement shall perform its respective obligations under this Agreement under the direction of a "Project Manager" and a "Principal Investigator." Project Managers shall be responsible for the overall direction of the work, establishing budgets and providing such approvals and consents as are required hereunder. Principal Investigators shall be responsible for the scientific and technical conduct of the work, including the exchange of Subject Data and other information. The parties designate the following individuals as their respective representatives: Laboratory Cooperator Project Manager ? ? Principal Investigator ? ?
Assigned Personnel. 3.1 Surprise shall have the discretion to determine which and how many of its officers will be allowed to apply for assignments at Events and how many officers will be assigned to the Events (hereinafter referred to as “Assigned Officers”).
a. All Assigned Officers will be required to enter into temporary employment contracts with Glendale.
b. The contract will outline the mutual responsibilities of the Assigned Officer and Glendale and will specify that the Assigned Officers are “at will” temporary employees of Glendale and that either party can terminate the contract, with or without cause at any time and without notice.
c. If possible, Glendale will consult with Surprise prior to terminating any Assigned Officer.
3.2 While working an Event, the Assigned Officers must wear uniforms approved by SPD, and the Assigned Officers may carry other equipment authorized by SPD.
3.3 When working an Event, GPD will make available to Assigned Officers forms and other supplies that are necessary to work the Event.
3.4 Upon termination of this Agreement and conclusion of any assignments, all personal property, assets, equipment, and supplies used by the parties and Assigned Officers in performance of their responsibilities shall remain with or be returned to the owner of such property.
3.5 Any inconsistency between GPD and SPD rules or regulations and all operational disputes will immediately be brought to the attention of the Glendale Police Chief and will be fully and finally addressed and resolved by the Glendale Police Chief in accordance with his or her determination of the best practices under the circumstances. The Glendale Police Chief may delegate this responsibility to a specific command officer.
