(a) Directly or indirectly, use the proceeds of any Loan, or lend, contribute or otherwise make available such proceeds of any Loan to any Person, to fund any activities of or business with any Person, or in any Designated Jurisdiction, that, at the time of such funding, is the subject of Sanctions (and which would result in a violation of Sanctions), or in any other manner that will result in a violation by any Person (including any Person participating in the transaction, whether as Lender, Administrative Agent, or otherwise) of Sanctions. (b) Directly or indirectly, use the proceeds of any Loan for any purpose which would breach the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000 and other similar anti-corruption legislation in other jurisdictions to the extent applicable to the Borrower and its Subsidiaries.

(a) Directly or indirectly, use the proceeds of any LoanExtension of Credit, or lend, contribute or otherwise make available such proceeds of any Loan to any PersonSubsidiary, joint venture partner or other individual or entity, to fund any activities of of, or business with with, any Sanctioned Person, or in any Designated Jurisdiction, that, at the time of such funding, is the subject of Sanctions (and which would result in a violation of Sanctions)Sanctioned Country, or in any other manner that will result in a violation by any Person individual or entity (including any Person individual or entity participating in the transaction, whether as Lender, Administrative Agent, Issuing Lender, Swingline Lender, or otherwise) of Sanctions. (b) Directly or indirectly, indirectly use the proceeds of any Loan Extension of Credit for any purpose which that would breach the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000 Bribery Act 2010, and other similar anti-corruption legislation in other jurisdictions to the extent applicable to which the Borrower and or any of its SubsidiariesSubsidiaries are subject.
