Common use of Sanctions Concerns Clause in Contracts

Sanctions Concerns. No Loan Party, nor any Subsidiary, nor, to the knowledge of the Loan Parties and their Subsidiaries, any director, officer, employee, agent, affiliate or representative thereof, is an individual or entity currently the subject of any Sanctions, nor is any Loan Party or any Subsidiary located, organized or resident in a Designated Jurisdiction.

Sanctions Concerns. No Loan Party, nor any Subsidiary, nor, to the knowledge of the Loan Parties and their Subsidiaries, any director, officer, employee, agent, affiliate or representative thereof, is an individual or entity that is, or is owned or controlled by any individual or entity that is, (a) currently the subject or target of any Sanctions, nor is any Loan Party Sanctions or any Subsidiary (b) located, organized or resident in a Designated Jurisdiction.

Sanctions Concerns. No Loan Party, nor any Subsidiary, nor, to the knowledge of the Loan Parties and their Subsidiaries, any director, officer, employee, agent, affiliate or representative thereof, is an individual or entity that is, or is owned or controlled by any individual or entity that is (i) currently the subject or target of any Sanctions, nor is any Loan Party Sanctions or any Subsidiary (ii) located, organized or resident in a Designated Jurisdiction.

No Loan Party, nor any Subsidiary, nor any director or officer thereof, nor, to the knowledge of the Loan Parties and their Subsidiaries, any director, officer, employee, agent, affiliate or representative thereof, is an individual or entity that is, or is owned or controlled by any individual or entity that is (i) currently the subject or target of any Sanctions, nor is any Loan Party Sanctions or any Subsidiary (ii) located, organized or resident in a Designated Jurisdiction.

No Loan Party, nor any Subsidiary, nor, to the best knowledge of the Loan Parties and their SubsidiariesParties, any director, officer, employee, agent, affiliate or representative thereof, is an individual or entity that is, or is owned or controlled by any individual or entity CHL:82267.17 64 that is (i) currently the subject or target of any Sanctions, nor is any Loan Party Sanctions or any Subsidiary (ii) located, organized or resident in a Designated Jurisdiction.

No As of the Closing Date, no Loan Party, nor any Subsidiary, nor, to the knowledge Knowledge of the Loan Parties and their Subsidiaries, any director, officer, employee, agent, affiliate or representative thereof, is an individual or entity currently the subject of any Sanctions, nor is any Loan Party or any Subsidiary located, organized or resident in a Designated JurisdictionJurisdiction as of the Closing Date.
