Common use of Sanctions Concerns Clause in Contracts

Sanctions Concerns. No Borrower, nor any Subsidiary of any Borrower, nor, to the knowledge of any Responsible Officer of any of the Borrowers and their respective Subsidiaries, any director, officer, employee, agent, affiliate or representative thereof, is an individual or entity that is, or is owned or controlled by any individual or entity that is: (i) currently the subject or target of any Sanctions; (ii) included on OFAC’s List of Specially Designated Nationals, HMT’s Consolidated List of Financial Sanctions Targets and the Investment Ban List, or any similar list enforced by any other relevant sanctions authority; or (iii) located, organized or resident in a Designated Jurisdiction so as to result in a violation of Sanctions.

Sanctions Concerns. No BorrowerNote Party, nor any Subsidiary of any BorrowerSubsidiary, nor, to the knowledge of any Responsible Officer of any of the Borrowers and their respective SubsidiariesNote Party, any director, officer, employee, agent, affiliate Affiliate or representative thereof, is an individual or entity that is, or is owned (at a 50% or greater level individually or in the aggregate) or controlled by any individual or entity that is: is (i) currently the subject or target of any Sanctions; , (ii) included on OFAC’s List of Specially Designated Nationals, HMT’s Consolidated List of Financial Sanctions Targets and the Investment Ban List, or any similar list enforced by any other relevant sanctions authority; authority or (iii) located, organized or resident in a Designated Jurisdiction so as to result in a violation of SanctionsJurisdiction.

Sanctions Concerns. No None of the Borrower, nor any Subsidiary of any Borrowerits Subsidiaries, nor, to the knowledge of any Responsible Officer of any of the Borrowers Borrower and their respective its Subsidiaries, any director, officer, employee, agent, affiliate or representative thereof, is an individual or entity that is, or is owned or controlled by any individual or entity that is: is (i) currently the subject or target of any Sanctions; , (ii) included on OFAC’s List of Specially Designated Nationals, the Canadian Sanctions List, HMT’s Consolidated List of Financial Sanctions Targets and or the Investment Ban List, or any similar list enforced by any other relevant sanctions authority; authority or (iii) located, organized or resident in a Designated Jurisdiction so as to result in a violation of SanctionsJurisdiction.

No BorrowerBorrower or Guarantor, nor any Subsidiary of any BorrowerSubsidiary, nor, to the knowledge of any Responsible Officer of any of the Borrowers Borrowers, the Guarantors and their respective Subsidiaries, any director, officer, employee, agent, affiliate or representative thereof, is an individual or entity that is, or is owned or controlled by any individual one or entity more individuals or entities that is: are (i) currently the subject or target of any Sanctions; , (ii) included on OFAC’s List of Specially Designated Nationals, HMT’s Consolidated List of Financial Sanctions Targets and the Investment Ban List, or any similar list enforced by any other relevant sanctions authority; authority or (iii) located, organized or resident in a Designated Jurisdiction so as Jurisdiction. The Borrowers, Guarantors and their Subsidiaries have conducted their businesses in compliance with all applicable Sanctions and have instituted and maintained policies and procedures reasonably designed to result in a violation of promote and achieve compliance with such Sanctions.

No Borrower, nor any Subsidiary of any Borrower, nor, to the knowledge of any Responsible Officer of any of the Borrowers and their respective Subsidiaries, any director, officer, employee, agent, affiliate or representative thereof, is an individual or entity that is, or is owned or controlled by any individual or entity that is: is (i) currently the subject or target of any Sanctions; , (ii) included on OFAC’s List of Specially Designated Nationals, HMT’s Consolidated List of Financial Sanctions Targets and the Investment Ban List, or any similar list enforced by any other relevant sanctions authority; authority or (iii) located, organized or resident in a Designated Jurisdiction so as to result in a violation of Sanctions.

No BorrowerCredit Party, nor any Subsidiary of any BorrowerSubsidiary, nor, to the knowledge of any Responsible Officer of the Guarantor or any of the Borrowers and its Subsidiaries based on their respective Subsidiariesreasonable diligence, any director, officer, employee, agent, affiliate Affiliate or representative of any thereof, is an individual or entity that is, or is owned or controlled by any individual one or entity more individuals or entities that is: are (ia) currently the subject or target of any Sanctions; , (iib) included on OFAC’s List of Specially Designated Nationals, HMT’s Consolidated List of Financial Sanctions Targets and the Investment Ban List, List or any similar list enforced by any other relevant sanctions authority; authority or (iiic) located, organized or resident in a Designated Jurisdiction so as to result in a violation of SanctionsJurisdiction.
