Common use of Satisfaction of Conditions; Cooperation Clause in Contracts

Satisfaction of Conditions; Cooperation. The Shareholders and Seller shall use all commercially reasonable efforts to cause the conditions set forth in Article 9 to be satisfied. Buyer and Stonepath shall use all commercially reasonable efforts to cause the conditions set forth in Article 10 to be satisfied. Each Party to this Agreement agrees to cooperate fully with the other Parties and their counsel, accountants and other representatives and to use all commercially reasonable efforts to do, or cause to be done, all things necessary, proper or advisable under Applicable Laws, or to remove any injunctions or other impediments or delays, legal or otherwise, as soon as reasonably practicable, to facilitate Closing of the transactions contemplated by this Agreement, and will refrain from a course of action inconsistent with this Agreement.
