Satisfaction of Conditions to Fifth Amendment. Upon the satisfaction of the conditions to the effectiveness of this Fifth Amendment, as set forth in this Article IV hereof, Borrower shall execute and deliver to Bank a Certificate of Compliance, and if Bank has been reasonably satisfied that such conditions have been fulfilled, Bank shall contemporaneously provide a letter to Borrower stating "Bank One, Texas, N.A. is satisfied that the conditions set forth in Article IV of the Fifth Amendment to that certain Loan Agreement dated October 25, 1996, among the Bank and Tanknology-NDE International, Inc. et al. have been fulfilled," whereupon this Fifth Amendment shall become effective.
