Satisfaction of Pre-Closing Conditions. Each of the Selling Shareholders, the Company and the Purchaser shall use all reasonable best efforts to obtain or satisfy, at the earliest practical date, all consents and regulatory approvals required to be obtained by such Party from any Governmental Authority or other Person to authorize, approve or permit the consummation of the transactions contemplated hereby. None of the Selling Shareholders, the Company or the Purchaser shall take any action that will have the effect of delaying, impairing or impeding the receipt of any required consent or regulatory approval.
