Satisfaction. of Mortgages and Release of Mortgage Files. Upon the payment in full of any Mortgage Loan, the Servicer will immediately notify the Purchaser by a certification of a Servicing Officer, which certification shall include a statement to the effect that all amounts received or to be received in connection with such payment which are required to be deposited in the Collection Account pursuant to Section 5.04 have been or will be so deposited and shall request delivery to it of the Purchaser's Mortgage File held by the Purchaser or its designee. Upon receipt of such certification and request, the Purchaser shall promptly release the related mortgage documents to the Servicer and the Servicer shall promptly prepare and process any satisfaction or release. No expense incurred in connection with any instrument of satisfaction or deed of reconveyance shall be chargeable to the Collection Account. If the Servicer satisfies or releases a Mortgage without having obtained payment in full of the indebtedness secured by the Mortgage, or should it otherwise take such action which results in a reduction of the coverage under the Primary Insurance Policy, if any, then the Servicer shall promptly give written notice thereof to the Purchaser, and, within 10 Business Days following written demand therefor from the Purchaser to the Servicer, the Servicer shall repurchase the related Mortgage Loan by paying to the Purchaser the Repurchase Price therefor by wire transfer of immediately available funds directly to the Purchaser's Account. From time to time and as appropriate for the servicing or foreclosure of the Mortgage Loan, including for this purpose collection under any Primary Insurance Policy, the Purchaser or Purchaser's designee shall, upon request of the Servicer and delivery to the Purchaser of a servicing receipt signed by a Servicing Officer, release the Purchaser's Mortgage File held by the Purchaser to the Servicer. If the Servicer satisfies or releases a Mortgage without having obtained payment in full of the indebtedness secured by the Mortgage, or should it otherwise take such action which results in a reduction of the coverage under the Primary Insurance Policypremium, if any, then interest thereon (subject to Section 7.10), if any, to maturity, or any repayment date, or any Change of Control Purchase Date, or upon conversion or otherwise as the Servicer shall promptly give written notice thereof to the Purchasercase may be, andof such Debentures, within 10 Business Days following written demand therefor from the Purchaser to the Servicer, the Servicer shall repurchase the related Mortgage Loan by paying to the Purchaser the Repurchase Price therefor by wire transfer of immediately available funds directly to the Purchaser's Account. From time to time and as appropriate for the servicing or foreclosure of the Mortgage Loan, including for this purpose collection under any Primary Insurance Policy, the Purchaser or Purchaser's designee shall, upon request of the Servicer and delivery to the Purchaser of a servicing receipt signed by a Servicing Officer, release the Purchaser's Mortgage File held divided by the Purchaser to the Servicer. Such servicing receipt shall obligate the Servicer to return the related Mortgage documents to the Purchaser when the need therefor by the Servicer no longer existsConversion Price as of such date; or
(b) all Debentures certified or authenticated and delivered (other than (A) Debentures which have been destroyed, unless the Mortgage Loan lost or stolen and which have been replaced or paid as provided in Section 2.11 and (B) Debentures for whose payment has been liquidated and the Liquidation Proceeds relating to the Mortgage Loan have been deposited in trust and thereafter repaid to the Collection Account or the Purchaser's Mortgage File or such document has Corporation as provided in Section 9.3) have been delivered to an attorneythe Trustee for cancellation; so long as in any such event:
(c) the Corporation has paid, caused to be paid or made irrevocable provisions to a public trustee or other public official as required by law, for purposes the satisfaction of initiating or pursuing legal action or other proceedings the Trustee for the foreclosure payment of all other sums payable with respect to all of such Debentures (together with all applicable expenses of the Mortgaged Property either judicially or nonjudicially, and Trustee in connection with the Servicer payment of such Debentures); and
(d) the Corporation has delivered to the Purchaser a certificate of a Servicing Officer certifying as Trustee an Officer’s Certificate stating that all conditions precedent herein provided relating to the name payment, satisfaction and address discharge of all such Debentures have been complied with. Any deposits with the Trustee referred to in this Section 9.5 shall be irrevocable, subject to Section 9.6, and shall be made under the terms of an escrow and/or trust agreement in form and substance satisfactory to the Trustee and which provides for the due and punctual payment of the Person principal of, premium, if any, and interest on the Debentures being satisfied.
(2) Upon the satisfaction of the conditions set forth in this Section 9.5 with respect to which such Purchaser's Mortgage File or such document was delivered all the outstanding Debentures, the terms and conditions of the Debentures, including the terms and conditions with respect thereto set forth in this Indenture (other than those contained in Article 2 and the purpose provisions of Article 1 pertaining to Article 2) shall no longer be binding upon or purposes applicable to the Corporation.
(3) If the Trustee is unable to apply the Common Shares in accordance with this Section 9.5 by reason of any legal proceeding or any order or judgment of any court or governmental authority enjoining, restraining or otherwise prohibiting such application, the Corporation’s obligations under this Indenture and the affected Debentures shall be revived and reinstated as though no Common Shares had been deposited pursuant to this Section 9.5 until such time as the Trustee is permitted to apply all such Common Shares in accordance with this Section 9.5, provided that if the Corporation has made any payment in respect of principal of, premium, if any, or interest on Debentures or, as applicable, other amounts because of the reinstatement of its obligations, the Corporation shall be subrogated to the rights of the holders of such delivery. Upon receipt of a certificate of a Servicing Officer stating that Debentures to receive such Mortgage Loan was liquidated and payment from the Liquidation Proceeds were deposited in the Collection Account, the servicing receipt shall be released Common Shares held by the Purchaser to the ServicerTrustee.

Satisfaction. In the event that the Guarantied Obligations is satisfied in full by Borrower or any other Obligor, Noteholder shall return this Agreement to a Guarantor marked “satisfied” within 91 days from the date of Mortgages and Release the last payment on the Guarantied Obligations; provided, however, that if, during the 91 days immediately following payment on the Guarantied Obligations by any Obligor, a bankruptcy petition is filed by or against Borrower, any Obligor or Guarantor under any provision of Mortgage Files. Upon the United States Bankruptcy Code, then Noteholder shall not return or mark “satisfied” this Agreement until either: (a) Bankruptcy Court enters an order ratifying the payment to Noteholder by any such Obligor of the Guarantied Obligations as not violating any provision of the United States Bankruptcy Code or being such as not to be recoverable for the bankruptcy estate by the Trustee; or (b) the proceedings have been determined. In the event that the Trustee in full bankruptcy or anyone acting in the Trustee’s stead, including a Debtor-in-Possession, seeks to recover any payment or any portion thereof from Noteholder for the bankruptcy estate under any provision of the United States Bankruptcy Code, Guarantors will jointly and severally indemnify and hold Noteholder harmless with respect to such attempted recovery against Noteholder by the bankruptcy estate and each Guarantor hereby further consents to Noteholder joining Guarantor as additional defendants in such action. In the event that the bankruptcy estate does so recover any Mortgage Loansuch payment or portion thereof, the Servicer then in that event Guarantors will immediately notify the Purchaser pay to Noteholder all sums so recovered together with all costs of collection and all costs incurred by a certification of a Servicing OfficerNoteholder, which certification shall include a statement to the effect that all amounts received or to be received including, without limitation, reasonable attorneys’ fees, in connection with such payment which the bankruptcy proceeding. If the Servicer satisfies or releases a Mortgage without having obtained payment in full of the indebtedness secured by the Mortgage, or should it otherwise take such action which results in a reduction of the coverage under the Primary Insurance Policy, if any, then the Servicer shall promptly give written notice thereof to the Purchaser, and, within 10 Business Days following written demand therefor from the Purchaser to the Servicer, the Servicer shall repurchase the related Mortgage Loan by paying to the Purchaser the Repurchase Price therefor by wire transfer of immediately available funds directly to the Purchaser's Account. In the case of a release of the related Home Loan File to the Servicer in connection with a substitution or repurchase of any Home Loan pursuant to Section 3.05 or the release of a Home Loan from the lien of the Indenture pursuant to Section 11.02 or a release for other servicing reasons, such release of the Home Loan File by the MortgageCustodian shall be subject to the prior approval of the Indenture Trustee. Upon The Indenture Trustee shall, upon receipt of a certificate written request from a Servicing Officer, execute any document provided to the Indenture Trustee by the Servicer or take any other action requested in such request that is, in the opinion of the Servicer as evidenced by such request, required by any state or other jurisdiction to discharge the lien of a Servicing Officer stating Mortgage upon the satisfaction thereof and the Indenture Trustee will sign and post, but will not guarantee receipt of, any such documents to the Servicer, or such other party as the Servicer may direct, within five Business Days, or more promptly if needed, of the Indenture Trustee's receipt of such certificate or documents. Satisfaction. The Corporation shall be deemed to have fully paid, satisfied and discharged the outstanding Debt Securities of Mortgages any series and Release the Trustee, at the expense of Mortgage Files. Upon the Corporation, shall execute and deliver proper instruments acknowledging the full payment, satisfaction and discharge of the Debt Securities, when, with respect to all outstanding Debt Securities of any series, either:
(a) the Corporation has deposited or caused to be deposited with the Trustee as trust funds in trust for the purpose of making payment on the Debt Securities of such series, an amount sufficient to pay, satisfy and discharge the entire amount of principal, premium, if any, and interest to the maturity date or any repayment date or redemption dates, as the case may be, of the outstanding Debt Securities of such series; or
(b) the Corporation has deposited or caused to be deposited with the Trustee as trust property in trust for the purpose of making payment on the Debt Securities of such series, such amount of U.S. Government Obligations as will, together with the income to accrue thereon and reinvestment thereof, be sufficient to pay and discharge the entire amount of principal and accrued and unpaid interest to the maturity date or any repayment date, as the case may be, of the outstanding Debt Securities of such series; and in either event:
(a) the Corporation has paid, caused to be paid or made provisions to the satisfaction of the Trustee for the payment in full of any Mortgage Loan, all other sums payable with respect to the Servicer will immediately notify outstanding Debt Securities of such series;
(b) the Purchaser by a certification Corporation has delivered to the Trustee an opinion of a Servicing Officer, which certification shall include a statement counsel to the effect that all amounts received holders of the outstanding Debt Securities of such series will not recognize a gain or loss for U.S. Federal income tax purposes as a result of such payment, satisfaction and discharge and will be subject to be received in connection with such payment which are required to be deposited U.S. Federal income tax on the same amount, in the Collection Account pursuant same manner and at the same times as would have been the case if such payment, satisfaction and discharge had not occurred; and
(c) the Corporation has delivered to the Trustee a Certificate of the Corporation stating that all conditions precedent herein provided relating to the payment, satisfaction and discharge of the outstanding Debt Securities of such series have been complied with. Any deposits with the Trustee referred to in this Section 7.5 shall, subject to Section 5.04 have been or will 7.3, be so deposited irrevocable and shall request delivery be made under the terms of an escrow and/or trust agreement in form and substance satisfactory to it the Trustee and which provides for the due and punctual payment of the Purchaser's Mortgage File held by the Purchaser or its designee. Upon receipt of such certification principal of, and request, the Purchaser shall promptly release the related mortgage documents to the Servicer interest and the Servicer shall promptly prepare and process any satisfaction or release. No expense incurred in connection with any instrument of satisfaction or deed of reconveyance shall be chargeable to the Collection Account. Upon the satisfaction of the conditions set forth in this Section 7.5 with respect to all the outstanding Debt Securities, the terms and conditions of the Debt Securities, including the terms and conditions with respect thereto set forth in this Indenture shall promptly give written notice thereof no longer be binding upon or applicable to the Purchaser, and, within 10 Business Days following written demand therefor from Corporation. If In the event the Servicer satisfies grants a satisfaction or releases release of a Mortgage without having obtained payment in full of the indebtedness secured by the Mortgage, or should it otherwise take such action which results in a reduction the Servicer, upon becoming aware of the coverage under foregoing, shall deposit the Primary Insurance Policy, if any, then Unpaid Principal Balance of the related Mortgage Loan plus accrued and unpaid interest by deposit thereof in the Collection Account pursuant to Section 2.4. The Trustee shall assign the related Mortgage and endorse the related Mortgage Note to the Servicer and shall promptly give written notice thereof do all things necessary to transfer ownership of the Mortgage Loan to the PurchaserServicer. The Servicer shall maintain the Fidelity Bond as provided for in Section 2.11 protecting and insuring the Servicer against, andlosses sustained with respect to any Mortgage Loan satisfied or released other than in accordance with the procedures set forth herein.
(c) The Trustee, or the Custodian, on its behalf, shall, within 10 five (5) Business Days following written demand therefor receipt of any request from the Purchaser Servicer (or within such shorter period as is necessary for the Servicer to perform its obligations hereunder in compliance with all Applicable Servicing Procedures) deliver or cause to be delivered to the ServicerServicer the Mortgage File (or any portion thereof) required by the Servicer to process any satisfaction or release of any Mortgage pursuant to this Section 4.2. In addition, if any Mortgage Loan has been paid in full and the Trustee has recorded the related Assignment of Mortgage designating the Trustee as the holder of record of the Mortgage, the Servicer shall repurchase the related Mortgage Loan by paying prepare and deliver to the Purchaser Trustee, together with a request for execution, the Repurchase Price therefor by wire transfer documents and instruments necessary to satisfy or release the lien of immediately available funds directly the Mortgage. The Trustee, or the Custodian, on its behalf, shall, within five (5) Business Days following its receipt of any such request, send to the Purchaser's AccountServicer the fully-executed documents that were prepared and requested by the Servicer. (d) If a Mortgage Loan that has been paid in full is a MERS Loan, including for this purpose collection under any Primary Insurance Policythe Servicer may cause the removal of such Mortgage Loan from registration on the MERS(R) System and execute and deliver, the Purchaser or Purchaser's designee shall, upon request on behalf of the Servicer Trustee, any and all related instruments of satisfaction or release. No expense incurred in connection with the delivery of any instrument of satisfaction or deed or reconveyance shall be chargeable to the Purchaser of a servicing receipt signed by a Servicing Officer, release the Purchaser's Mortgage File held by the Purchaser to the Servicer. Such servicing receipt The Servicer shall obligate maintain the Fidelity Bond and Errors and Omissions Insurance Policy as provided for in Section 2.12 insuring the Servicer against any loss it may sustain with respect to return the related Mortgage documents to the Purchaser when the need therefor by the Servicer no longer exists, unless the any Mortgage Loan has been liquidated and not satisfied in accordance with the Liquidation Proceeds relating to the Mortgage Loan have been deposited in the Collection Account or the Purchaser's Mortgage File or such document has been delivered to an attorney, or to a public trustee or other public official as required by law, for purposes of initiating or pursuing legal action or other proceedings for the foreclosure of the Mortgaged Property either judicially or nonjudicially, and the Servicer has delivered to the Purchaser a certificate of a Servicing Officer certifying as to the name and address of the Person to which such Purchaser's Mortgage File or such document was delivered and the purpose or purposes of such delivery. Upon receipt of a certificate of a Servicing Officer stating that such Mortgage Loan was liquidated and the Liquidation Proceeds were deposited in the Collection Account, the servicing receipt shall be released by the Purchaser to the Servicerprocedures set forth herein.
