Schutz VERTRAULICHER INFORMATIONEN. Im Rahmen der Erfüllung ihrer Verbindlichkeiten gemäß dieser VEREINBA- RUNG kann eine VERTRAGSPARTEI (die „EMPFANGENDE PARTEI“) VER- TRAULICHE INFORMATIONEN von der anderen VERTRAGSPARTEI (die „OFFENLEGENDE PARTEI“) zur Verfügung gestellt bekommen, diese erhalten oder auf sonstige Weise Zugriff darauf haben. Alle VERTRAULICHEN INFORMATIONEN verbleiben im Eigentum der OFFENLEGENDEN PARTEI. Die EMPFANGENDE PARTEI soll: (i) alle VER- TRAULICHEN INFORMATIONEN strikt vertraulich behandeln und VER- TRAULICHE INFORMATIONEN nicht an Dritte preisgeben, mit Aus- nahme der Direktoren, leitenden Angestellten, Mitarbeiter oder Berater der EMPFANGENDEN PARTEI oder der mit ihr VERBUN- DENEN PERSONEN, sofern für diese Personen ein eindeutige Not- wendigkeit besteht, diese VERTRAULICHEN INFORMATIONEN in Ver- bindung mit der Erfüllung ihrer beruflichen Verpflichtungen zu kennen und diese Personen durch eine Geheimhaltungs- vereinbarung zur Vertraulichkeit verpflichtet sind, die nicht weniger streng ist, als in dieser VEREINBARUNG ausgeführt; (ii) die VERTRAULICHEN INFORMATIONEN nur und ausschließlich für die Zwecke der Erfüllung ihrer Verbindlichkeiten gemäß dieser VEREINBARUNG verwenden; und (iii) den VERTRAULICHEN INFORMA- TIONEN mindestens den gleichen Schutz gegen unbefugte Nutzung oder Preisgabe zukommen lassen, die die EMPFAN- GENDE PARTEI gewöhnlich ihren eigenen vergleichbaren ver- traulichen oder geschützten Informationen oder Geschäftsge- heimnissen zukommen lässt, in keinem Fall jedoch weniger als ein vernünftiges Maß an Schutz. Unbeschadet des Vorstehen- den ist die EMPFANGENDE PARTEI berechtigt, VERTRAULICHE INFOR- MATIONEN offenzulegen, wenn und soweit dies von Gesetzes wegen oder aufgrund einer gerichtlichen oder behördlichen Anordnung erforderlich ist, vorausgesetzt, sie zeigt diese Of- fenlegung der OFFENLEGENDEN PARTEI mindestens sieben (7) Tage im Voraus an.
