Common use of Scientific Publication Clause in Contracts

Scientific Publication. The JSC shall discuss the publication strategy for the publication of scientific papers, abstracts, meeting presentations and other disclosure of the results of the Clinical Trials carried out under this Agreement, taking into consideration the Parties’ interest in publishing the results of the Product Development work in order to obtain recognition within the scientific community and to advance the state of scientific knowledge, and the need to protect Confidential Information, intellectual property rights and other business interests of the Parties; provided that Zai’s publication outside the Territory (including in any form or media that may be distributed outside the Territory) shall require Xxxxxxxx’x prior written consent, not to be unreasonably withheld. Subject to the immediately preceding sentence, Zai shall provide Xxxxxxxx with the opportunity to review and comment on any proposed publication that pertains to the Products at least forty-five (45) days prior to its intended submission for publication which shall only be permitted in the Territory and as to data, results and the like with respect to patients or subjects located in the Territory. Xxxxxxxx shall provide Zai with its comments, if any, within thirty (30) days after the receipt of such proposed publication. Zai shall consider in good faith the comments provided by Xxxxxxxx and shall comply with Xxxxxxxx’x request to: (a) remove any and all Confidential Information of Xxxxxxxx from such proposed publication; and (b) delay the submission for a period up to ninety (90) days as may be reasonably necessary to seek patent protection for the information disclosed in the proposed publication. Zai agrees to acknowledge the contribution of Xxxxxxxx and Xxxxxxxx’x employees in all publication as scientifically appropriate. Zai shall have no right to publish outside the Territory (including in any form or media that may be distributed outside the Territory) without Xxxxxxxx’x prior written consent.

Subject to the immediately preceding sentence, Zai shall provide Xxxxxxxx Karuna with the opportunity to review and comment on any proposed publication [***] that pertains to the Products Licensed Product at least forty-five (45) days [***] prior to its intended submission for publication publication, which shall only be permitted in the Territory and as limited to data, results and the like with respect to patients or subjects located in the Licensed Territory. Xxxxxxxx Karuna shall provide Zai with its comments, if any, within thirty (30) days [***] after the receipt of such proposed publication. Zai shall consider in good faith the comments provided by Xxxxxxxx Xxxxxx and shall comply with Xxxxxxxx’x Xxxxxx’s request to: (a) remove any and all Confidential Information of Xxxxxxxx Karuna from such proposed publication; and (b) if Karuna determines that such publication would entail the disclosure of patentable Inventions upon which patent applications should be filed prior to such publication, delay the submission for a period up to ninety (90) days as may be reasonably necessary to seek patent protection for the information disclosed in drafting and filing of a patent application covering such Inventions; provided that such additional period shall not exceed [***] from the proposed date of the intended submission for publication. Zai Xxx agrees to acknowledge the contribution of Xxxxxxxx Karuna and Xxxxxxxx’x its employees in all publication publications as scientifically appropriate. Zai shall have no right to publish outside the Territory (including in any form or media that may be distributed outside the Territory) without Xxxxxxxx’x prior written consent.
