You acknowledge that in being permitted to use the App, the “Intellectual Property Rights” (meaning patents, utility models, rights to inventions, copyright and neighbouring and related rights, trademarks and service marks, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets), and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world) in and to the App are licensed (not sold) to you solely pursuant to the XXXX, and that you have no other right, title, or interest in, or to, the Intellectual Property Rights in the App. You may not rent, lease, lend, sell, redistribute or sublicense the App. If you sell any Device on which the App is installed, you must delete or remove the App and associated data from such Device. Scope of License. 2.1 You are given a non-Under the terms of this Agreement, Xxxx hereby grants Subscribing Institute, the non- transferable, non-exclusiveexclusive right to download, display, view and print off single copies of excerpts of records contained in the Licensed Content for internal business purposes and for their Authorized User’s personal non-commercial use. The aforesaid rights are to be exercised only at the Authorized Site or remotely by logging on to a Secure Network. Subscribing Institute will not use the Product as a component of, or a basis for, a directory, database, or other publication prepared for sale or for any other form of distribution, and will neither duplicate nor alter the Product in any way. Use of the Product will be limited to the Authorized User base of the Subscribing Institution(s) licensing the Product through this Agreement as defined in Section 1.0 (B). 2.2 The term of this Agreement including database access will begin on the date of contract signing and remain in effect unless earlier terminated or extended as provided for herein. This Agreement will renew unless either party provides written notice within thirty (30) days before end of the then current term. 2.3 Subscriber acknowledges that Xxxx and its Third Party data providers own all content within the Licensed Content and all portions thereof. Neither Xxxx nor its Third Party Data Suppliers transfers any ownership. Subscribing Institute and its Authorized Users may not reproduce, transfer or transmit, in any form, or by any means, the Licensed Content or any portion thereof without the prior written consent of Xxxx, except as specifically authorized in this Agreement. 2.4 The Subscribing Institute and its Authorized Users are authorized to display, download, print and/or make paper or electronic copies of citations, abstracts, full text or portions thereof provided the information is used solely for personal, non-sublicensable license commercial use. 2.5 The Subscribing Institute shall use all reasonable efforts to install restrict and use control unauthorized access to the Licensed Application on Content. The Subscribing Institution agrees to notify Xxxx if it becomes aware of any Apple-branded Products that You (End-User) own or control and as permitted by the Usage Rules set forth in this section and the App Store Terms of Service, with the exception that such licensed Application may be accessed and used by other accounts associated with You (End-User, The Purchaser) via Family Sharing or volume purchasing. 2.2 This license will also govern any updates of the Application provided by Licensor that replace, repair, and/or supplement the first Application, unless a separate license is provided for such update in which case the terms of that new license will govern. 2.3 You may not reverse engineer, translate, disassemble, integrate, decompile, integrate, remove, modify, combine, create derivative works following: (a) any loss or updates of, adapt, or attempt to derive the source code theft of the Application, Subscribing Institution’s passwords(s); (b) any unauthorized use of any of the Subscribing Institution’s passwords(s) of the Licensed Content; or (c) any part thereof (except with Float Tech LLC's prior written consent). 2.4 You may not copy (excluding when expressly authorized breach by this license and the Usage Rules) or alter the Application or portions thereof. You may create and store copies only on devices that You own or control for backup keeping under an Authorized User of the terms of this licenseAgreement. Upon becoming aware of any breach of the terms of this Agreement by an Authorized User, the App Store Terms of Service, and any other Subscribing Institution agrees to work with Xxxx to correct such practices. 2.6 Third Party Data Suppliers may provide additional terms and conditions affecting the Subscribing Institute’s use of the Licensed Content, which will be appended to this Agreement. Such terms and conditions will prevail and control use of the relevant Licensed Content over any conflicting terms contained herein. Subscribing Institute agrees that apply this Agreement, to the device or software used. You extent it pertains to the Licensed Content contained in the Product, may be enforced by the Third Party Data Supplier. 2.7 Subscribing Institute may not remove use any intellectual property noticesdata or documentation received from the Licensed Content except as expressly provided in this Agreement and except as permitted by U.S. Copyright Law and CONTU guidelines, which law shall govern the use of all data and documentation received from the Licensed Content. You acknowledge that no unauthorized third parties may gain access Subscribing Institute agrees not to these copies at sell, exchange, barter or transfer, rent, lease, loan, resell for profit, distribute or in any timeother manner commercially exploit any data or documentation received from the Licensed Content. 2.5 Licensor 2.8 Xxxx reserves the right at any time to modify withdraw from the terms and conditions Licensed Content any item or part of licensingan item for which it no longer retains the right to publish, or which it has reasonable grounds to believe infringes copyright or is defamatory, obscene, unlawful or otherwise objectionable. 2.6 Nothing in this license should be interpreted to restrict third-party terms. When using the Application, You must ensure that You comply with applicable third-party terms and conditions.
