SDCOE Exemption from Liability. In the event there is a reduction of funds made available by SDCOE to Contractor under this or subsequent agreements, SDCOE and its Departments, officers and employees shall incur no liability to Contractor and shall be held harmless from any and all claims, demands, losses, damages, injuries, or liabilities arising directly or from such action.
