Search Reports and Related Documents. The Agent shall have received (i) UCC, tax and judgment lien search reports and other search reports in all respects satisfactory to the Agent with respect to each applicable public office where Liens are or may be filed disclosing that there are no Liens of record in such official's office covering any Property of the Borrowers or any of the Material Subsidiaries or showing the Borrowers or Material Subsidiary as debtor thereunder (other than Permitted Liens) and (ii) a certificate of the Parent signed by an Authorized Signatory thereof, dated the first Borrowing Date, certifying that, upon the making of Loans and the issuance of Letters of Credit on the first Borrowing Date, there will exist no Liens on any Property of the Borrowers or any Material Subsidiary other than Permitted Liens.
