SEC Compliance; OTC BB Quotation. Immediately prior to Closing, Qorus shall be in compliance with the reporting requirements under the Exchange Act and shall be quoted on the OTC BB.
SEC Compliance; OTC BB Quotation. Immediately prior to Closing, Purezza shall be in compliance with the reporting requirements under the Exchange Act and shall be quoted on the OTC BB.

Immediately prior to Closing, FERS shall be current in its reporting and other regulatory requirements under the Exchange Act and other applicable securities laws and FERS Common Stock shall continue to be listed under its current symbol on, and continue to be in full compliance with the requirements of, the OTC BB. FERS shall have received all approvals and permits required by any applicable governing bodies and regulatory authorities to permit the continued listing of the capital stock of FERS on the OTC BB following the Closing
SEC Compliance; OTC BB Quotation. Immediately prior to Closing, Marine shall be in compliance with the reporting requirements under the Exchange Act and shall be quoted on the OTC BB.
SEC Compliance; OTC BB Quotation. At the Closing, MPLC shall be in compliance with the reporting requirements under the Exchange Act and shall be quoted on the OTC BB.
SEC Compliance; OTC BB Quotation. Immediately prior to Closing, Century shall be in compliance with the reporting requirements under the Exchange Act and shall be quoted on the OTC BB.
SEC Compliance; OTC BB Quotation. Immediately prior to Closing, Applied Spectrum shall be in compliance with the reporting requirements under the Exchange Act and shall be quoted on the OTC BB.
SEC Compliance; OTC BB Quotation. Immediately prior to Closing, Cyber shall be in compliance with the reporting requirements under the Exchange Act and shall be quoted on the OTC BB. Cyber shall have prepared and filed with the SEC its Annual Report on Form 10-KSB for the year ended May 31, 2006 on or prior to the Closing, but no later than August 15, 2006.

Qorus shall have prepared and filed with the SEC its Annual Report on Form 10-KSB for the year ended December 31, 2005 on or prior to the Closing, but no later than March 31, 2006.
