Common use of SEC Filings and Press Releases Clause in Contracts

SEC Filings and Press Releases. Promptly upon their becoming available, Borrower will deliver copies of: (1) all financial statements, reports, notices and proxy statements sent or made available by any Loan Party to their security holders; (2) all regular and periodic reports and all registration statements and prospectuses, if any, filed by any Loan Party with any securities exchange or with the Securities and Exchange Commission or any governmental or private securities regulatory authority; and (3) all press releases and other statements made available by any Loan Party to the public concerning developments in the business of any such Person.

Promptly upon their becoming available, Borrower will deliver copies of: of (1) all financial statements, reports, notices and proxy statements sent or made available by Parent, Borrower or any Loan Party of its Subsidiaries to their respective security holders; , if Parent or Borrower has a class of securities registered with the SEC, and (2) all regular and periodic reports and all registration statements and prospectuses, if any, filed by Parent, Borrower or any Loan Party of its Subsidiaries with any securities exchange or with the Securities and Exchange Commission or any governmental or private securities regulatory authority; and (3) all press releases and other statements made available by any Loan Party to the public concerning developments in the business of any such Person.
