Secondary Marks. (i) WGT shall not create composite trademarks consisting of the SPDR Xxxx in combination with any other word, phrase, symbol or device without State Street’s and S&P’s prior written authorization. Nothing in this Section 3 shall prevent WGT from creating and using Share or Trust names in accordance with the Naming Convention and the terms and conditions of this Agreement. WGT hereby disclaims any right, title and interest to the SPDR Xxxx in any composite marks approved by State Street and S&P in accordance with the foregoing. (ii) WGT agrees not to: (i) use or register in any jurisdiction any xxxx that is confusingly similar to, or consisting in whole or in part of, the SPDR Xxxx or (ii) register the SPDR Xxxx in any jurisdiction, without in each case the express prior written consent of S&P and State Street. (iii) If WGT creates, uses or registers any xxxx in contravention of this Section 3(g), the Parties agree (without limitation of other remedies) WGT hereby assigns all right, title, and interest in and to such xxxx to S&P and all goodwill, right, title or interest that might be acquired by the use of such xxxx by WGT shall inure to the sole benefit of S&P.

Secondary Marks. Should Mundipharma discover that the laws or regulations of any country of the Territory prohibit the use of the Trademark in that country, or if the JCC reasonably determines that such use of the Trademark would be commercially unattractive in any country of the Territory (e.g. due to the meaning of the Trademark in another language), Mundipharma will choose a new trademark, which shall be reasonably acceptable to BioCryst (each such new trademark a "Secondary Mxxx”, and collectively the “Secondary Marks”) under which to Develop and Commercialize the Licensed Products. Mundipharma will be entitled to and obligated to file, maintain, and/or renew an application or registrations for such Secondary Marks at Mundipharma’s expense, in its own name in such country(ies) of the Territory. Upon expiration or termination of this Agreement, the provisions of Section 11.3.5 shall apply to the assignment of Mundipharma’s right, title and interest in and to such Secondary Marks to BioCryst. Unless otherwise specified in this Agreement, the parties agree that all rights of BioCryst and all obligations of Mundipharma under this Agreement with respect to the Trademark shall be extended to also apply to all Secondary Marks.

  • Secondary Systems The Developer and Connecting Transmission Owner shall each cooperate with the other in the inspection, maintenance, and testing of control or power circuits that operate below 600 volts, AC or DC, including, but not limited to, any hardware, control or protective devices, cables, conductors, electric raceways, secondary equipment panels, transducers, batteries, chargers, and voltage and current transformers that directly affect the operation of Developer or Connecting Transmission Owner’s facilities and equipment which may reasonably be expected to impact the other Party. The Developer and Connecting Transmission Owner shall each provide advance notice to the other Party, and to NYISO, before undertaking any work on such circuits, especially on electrical circuits involving circuit breaker trip and close contacts, current transformers, or potential transformers.
