Common use of Securities Acts Clause in Contracts

Securities Acts. Neither Borrower nor any agent acting on its behalf has, directly or indirectly, taken or will take any action which would subject the issuance of the Notes to the provisions of Section 5 of the Securities Act of 1933, as amended, or, to the best knowledge of the Borrower, to the provisions of any securities or Blue Sky Law of any applicable jurisdiction.

Securities Acts. Neither Borrower nor any of its Subsidiaries nor any agent acting engaged to act on its their behalf has, directly or indirectly, taken or will take any action which would subject the issuance of the Notes to the provisions of Section 5 of the Securities Act of 1933, as amended, or, to the best knowledge of the Borrower, or to the provisions of any securities or Blue Sky Law of any applicable jurisdiction.
