SECURITIES APPROVAL. The Registration Statement shall have become effective under the Securities Act and no stop order suspending the effectiveness of the Registration Statement shall have been issued and no proceedings for that purpose shall have been initiated or threatened by the SEC. At or prior to the date that the Registration Statement is declared effective by the SEC, Pentegra shall have received all state securities and "Blue Sky" permits necessary to consummate the transactions contemplated hereby. The Pentegra Common Stock shall have been approved for listing on Nasdaq or other exchange selected by Pentegra, subject only to official notification of issuance.
