Common use of Securities Compliance Clause in Contracts

Securities Compliance. The Company shall notify the Commission and the Trading Market, if and as applicable, in accordance with their respective rules and regulations, of the transactions contemplated by the Transaction Documents, and shall take all necessary action, undertake all proceedings and obtain all registrations, permits, consents and approvals for the legal and valid issuance of the Securities to the Investor in accordance with the terms of the Transaction Documents, as applicable.

Securities Compliance. The Company shall notify the Commission and the Trading Market, if and as applicable, in accordance with their respective its rules and regulations, of the transactions contemplated by any of the Transaction Documents, Documents and shall take all other necessary actionaction and proceedings as may be required and permitted by applicable law, undertake all proceedings rule and obtain all registrationsregulation, permits, consents and approvals for the legal and valid issuance of the Securities to the Investor in accordance with the terms of the Transaction DocumentsPurchasers, as applicableor their respective subsequent holders.

The Company shall notify the Commission and the Trading Market, if and as applicable, in accordance with their respective rules and regulations, of the transactions contemplated by any of the Transaction Documents, including filing a Form D with respect to the Preferred Shares, Warrants, Conversion Shares and Warrant Shares as required under Regulation D, and shall take all other necessary actionaction and proceedings as may be required and permitted by applicable law, undertake all proceedings rule and obtain all registrationsregulation, permits, consents and approvals for the legal and valid issuance of the Securities Preferred Shares, the Warrants, the Conversion Shares and the Warrant Shares to the Investor in accordance with the terms of the Transaction Documents, as applicablePurchasers or subsequent holders.

The Company shall notify the Commission and the Trading Market, if and as applicableCommission, in accordance with their respective its rules and regulations, of the transactions contemplated by any of the Transaction Documents, and shall take all other necessary actionaction and proceedings as may be required and permitted by applicable law, undertake all proceedings rule and obtain all registrationsregulation, permits, consents and approvals for the legal and valid issuance of the Securities to the Investor in accordance with the terms of the Transaction DocumentsPurchaser, as applicableor their respective subsequent holders.

Securities Compliance. The Company shall notify the Commission SEC and the Trading Market, if and as applicable, in accordance with their respective rules and regulations, of the transactions contemplated by the Transaction Documents, and shall take all necessary action, undertake all proceedings and obtain all registrations, permits, consents and approvals for the legal and valid issuance of the Securities Shares to the Investor in accordance with the terms of the Transaction Documents, as applicable.
