Security Agent instructions. For the purposes of Clause 4.4 (Filing of claims) and Clause 4.5 (Actions of Creditors and Intra-Group Lenders) the Security Agent shall act:
(a) on the instructions of the Instructing Group; or
(b) (other than with respect to the enforcement of Transaction Security which, for the avoidance of doubt, shall be conducted in the manner contemplated by Clause 7.2 (Enforcement instructions)) in the absence of any such instructions but subject to Clause 11.10 (Excluded Obligations), as the Security Agent sees fit.
Security Agent instructions. For the purposes of Clause 9.1 (Distributions), Clause 9.4 (Filing of claims) and Clause 9.5 (Further assurance – Insolvency Event) the Security Agent shall act on the instructions of the Instructing Group.
Security Agent instructions. For the purposes of Clause 10.5 (Filing of claims) and Clause 10.6 (Creditors’ actions) the Security Agent shall act:
(a) on the instructions of the Instructing Group; or
(b) in the absence of any such instructions, in accordance with Clause 13.3 (Enforcement Instructions).
Security Agent instructions. For the purposes of Clause 13.5 (Filing of claims) and Clause 13.6 (Creditors’ actions) the Security Agent shall act:
Security Agent instructions. For the purposes of Clause 9.5 (Filing of claims) and Clause 9.6 (Creditors’ actions) the Security Agent shall act:
(a) (except in relation to a Senior Parent Debt Issuer to the extent relating to Liabilities in respect of Senior Parent Notes and/or Permitted Parent Financing Debt where that Senior Parent Debt Issuer is the issuer or, as the case may be, the borrower) on the instructions of the group of Primary Creditors entitled, at that time, to give instructions under Clause 12.2 (Enforcement Instructions) or Clause 12.3 (Manner of enforcement); or
(b) in the absence of any such instructions, as the Security Agent sees fit.
Security Agent instructions. For the purposes of Clause 4.1 (Distributions), Clause 4.4 (Filing of claims) and Clause 4.5 (Further assurance – Insolvency Event) the Security Agent shall, except to the extent otherwise specified in Clause 4.1 (Distributions), Clause 4.5 (Further assurance – Insolvency Event) or any other provision of this Agreement, act:
(a) (in the case of any such action relating to any Subordinated Liabilities (as defined in the Intercreditor Agreement)) on the instructions of the Security Instructing Creditors (as defined in the Intercreditor Agreement) in respect of the Transaction Security (as defined in the Intercreditor Agreement) that relates to such Subordinated Liabilities or (in any other case) on the instructions of the Instructing Creditors; or
(b) in the absence of any such instructions, as the Security Agent sees fit."
Security Agent instructions. In accordance with clause 28.3 (Instructions) of the Original Facility Agreement, the Lenders (as defined in the Original Facility Agreement), hereby instruct the Security Agent to execute and enter into this Agreement, the Supplemental Security Agreements, the Collateral Monitoring Deed ARA and any other related documents or agreements contemplated by this Agreement.
Security Agent instructions. For the purposes of Clause 7.2 (Distributions), Clause 7.5 (Filing of claims) and Clause 7.6 (Further assurance – Insolvency Event) the Security Agent shall act on the instructions of the Majority External Creditors or, in the absence of any such instructions, as the Security Agent sees fit.
Security Agent instructions. For the purposes of clause 4.1 (Distributions), clause 4.4 (Filing of claims) and clause 4.5 (Further assurance – Insolvency Event) the Security Agent shall act:
(a) in relation to secured claims (and amounts deriving from secured claims), on the instructions of the group of Creditors entitled, at that time, to give instructions under clause 7.1 (Enforcement Instructions – New 2025 Notes Security) or clause 7.2 (Manner of enforcement – New 2025 Notes Security) or under clause 8.1 (Enforcement instructions – Existing 2025 Notes Security) or clause 8.2 (Manner of enforcement – Existing 2025 Notes Security), as applicable;
(b) in relation to unsecured claims (and amounts deriving from unsecured claims) on the instructions of the New 2025 Notes Security Instructing Group and the Existing 2025 Notes Security Instructing Group (acting together); or
(c) in the absence of any such instructions, as the Security Agent sees fit.
