Security Interests in Personal and Mixed Property. The Administrative Agent shall have received evidence reasonably satisfactory to it and the Arranger that the Borrowers shall have taken or caused to be taken all such actions, executed and delivered or caused to be executed and delivered all such agreements, documents and instruments, and made or caused to be made all such filings and recordings (other than the filing or recording of items described in clauses (iii) and (iv) below) that may be necessary or, in the reasonable opinion of the Administrative Agent or the Arranger, desirable in order to create in favor of the Intercreditor Agent, for the benefit of the Secured Parties, a valid and (upon such filing and recording) perfected First Priority security interest in the Collateral. Such actions shall include the following:

The To the extent not otherwise satisfied pursuant to subsection 4.1K, Administrative Agent shall have received evidence reasonably satisfactory to it and the Arranger that the Borrowers Loan Parties shall have taken or caused to be taken all such actions, executed and delivered or caused to be executed and delivered all such agreements, documents and instruments, and made or caused to be made all such filings and recordings (other than the filing or recording of items described in clauses (iiiii) and (iviii) below) that may be necessary or, in the reasonable opinion of the Administrative Agent or the Arranger, desirable may reasonably request in order to create evidence, in favor of the Intercreditor Administrative Agent, for the benefit of the Secured PartiesLenders, a valid and (upon such filing and recording) perfected First Priority security interest in the entire personal and mixed property Collateral, with the priority set forth in the Interim Borrowing Order or the Final Borrowing Order, as applicable. Such actions shall include the following:
