Common use of Security Ownership Clause in Contracts

Security Ownership. Neither the Purchaser, the Parent nor any of their respective affiliates or any other Person acting jointly or in concert with any of them, beneficially owns or controls, or will prior to the Effective Date beneficially own or control, any Shares or any securities that are convertible into or exchangeable or exercisable for Shares.

Neither the Purchaser, the Parent Sponsor nor any of their respective affiliates Affiliates or any other Person acting jointly or in concert with any of them, beneficially owns or controls, or will prior to the Effective Date beneficially own or control, any Absolute Shares or any securities that are convertible into or exchangeable or exercisable for Absolute Shares.

Security Ownership. Neither the Purchaser, the Parent nor any of their respective its affiliates (including Acquireco) or any other Person acting jointly or in concert with any of themthe Purchaser with respect to the Company, beneficially owns or controls, exercises control or will prior to the Effective Date beneficially own or control, any Shares or direction over any securities that are convertible into or exchangeable or exercisable for Sharesof the Company.
